    Die Up-or-out-Regel besagt, dass Assistenten in Partnerschaften (oder auch Universitäten) nach einer gewissen Zeit zu Partnern aufsteigen oder die Partnerschaft verlassen müssen. Eine dauerhafte Assistententätigkeit ist nicht möglich. Dies wirft die Frage auf, warum nicht Assistent bleiben darf, wer auf dieser Position seine Kosten mehr als erwirtschaftet, auch wenn seine Produktivität zur Beförderung zum Partner nicht ausreicht. Es werden unterschiedliche ökonomische Erklärungsansätze zur Beantwortung dieser Frage untersucht. Nach Zurückweisung des weit verbreiteten, aber unplausiblen Ansatzes, dass die Partnerschaft zur Selbstbindung an ihr implizites Beförderungsversprechen Assistenten in deren eigenem Interesse entlassen muss, lautet die Antwort, dass in Partnerschaften die fragliche Situation gar nicht auftritt und die Anwendung der Up-or-out-Regel deshalb als effizient einzuschätzen ist. The up-or-out rule states that assistants in partnerships (or universities) must become partners after a certain period of time or have to leave the partnership. Permanent assistantship is not possible. This raises the question of why someone is not being allowed to remain an assistant if he generates more in this position than he costs, even if his productivity is insufficient to promote him to a partner. Different economic explanations to answer this question are examined. After rejecting the widespread but implausible approach that the partnership has to dismiss assistants in their own interest in order to bind themselves to their implicit promotion promise, the answer is that in partnerships the situation in question does not occur at all and the application of the up-or-down out rule is therefore to be assessed as efficient.

    The paper proposes a mechanism that may implement first-best effort in simultaneous teams. Within the framework of this mechanism, each team members is obliged to make a fixed, non-contingent payment, and chooses his individual effort. After the output is produced, each team member receives a gross payment that equals the actual team output. We demonstrate that a Nash equilibrium exists in which each team member chooses first-best effort. We call this mechanism "Anti-Sharingʺ since it solves the sharing problem that causes the inefficiency in teams. The Anti-Sharing mechanism requires one player to specialize on the role of an "Anti-Sharerʺ. With an external Anti-Sharer who works on a non-profit base, the mechanism can implement first-best effort. If, however, the Anti-Sharer comes from within the team and desires a positive payoff, then the mechanism may implement not more than second-best effort. The latter version of the model could be interpreted as a new theory of firms and partnerships in the sense of the theory of Alchian and Demsetz (1972).

    We study a partnership that anticipates its possible dissolution. In our model, partnerships form in order to take advantage of complementary skills; although new opportunities may arise that make partners ̕skills useless. We characterize the optimal, incentive-compatible partnership contract that can be implemented by a simple call option, and then analyze the commonly used buysell provision. We show that this dissolution rule gives rise to inefficiency, either in the form of excessive dissolutions combined with underinvestment or efficient dissolutions combined with overinvestment. However, supplementing the buysell provision with the right to veto may restore efficiency.
